$10,000 in Value for New Restaurant Partner Sign Ups at the RC Show Terms & Conditions (the “Terms and Conditions”):

1. Restaurants may register their interest in the $0 Commission promotion described below (the Promotion) via this landing page.

2. Eligibility criteria are set out below, registration does not guarantee access to this promotion.
   
   
3. The Promotion will open on May 8, 2022 and you must register your interest by May 28, 2022 at which time the Promotion will close (collectively, the Promotion Period).
   
   
4. Eligibility criteria:
   a. In order to participate in the Promotion, Restaurants must be:
     i.  An independently owned and operated restaurant which:
        1. has less than 10 sites operating under the same name;
        2. not currently, nor has been in the previous 3months,operated on the Skip the Dishes (Skip) platform; and
        3. not a franchisee whose Head Office currently has an MSA with SKIP.
     ii. is not a grocery or convenience store, or an alcohol vendor.
   b. Participation in the promotion is subject to signing a standard agreement for services (and any required addendums) with Skip.  It is in Skip’s sole discretion whether or not to execute an agreement for services with the Restaurant.
   
   
5. The Promotion includes:
   a. Free Commission - Skip will not charge the Restaurant the Network Contribution owed by the Restaurant to Skip for the first 6 months or, if sooner, upon reaching a cap of $3500
   b. Free Delivery - Skip will no charge delivery fees for an agreed 60 days period (valued at approx $1000, but will vary based on order volume and agreed dates)
   c. Free Food Photoshoot (valued at approx. $200)
   d. Free Tablet for use with the service (valued at approx. $300)
   e. Marketing support package (valued at approx. $5000)
   
   
6. Skip has the right to terminate the Promotion at any time without notice and without any liability to the Restaurant.
   
   
7. Skip reserves the right to modify, cancel, terminate or suspend the Promotion in whole or in part, at its sole discretion, if it believes the Promotion is not capable of being conducted as specified within these Terms and Conditions or in the event of a virus, a computer bug or unauthorized human intervention or any other cause that is beyond the reasonable control of Skip that could corrupt or affect the administration, security, or normal course of the Promotion.
   
   
8. The Promotion is non-exchangeable, non-transferable, non-negotiable and no cash alternative is offered.  The decision of Skip regarding any aspect of this Promotion is final and binding and no correspondence will be entered into about it.
   
   
9. Neither Skip nor any of its subsidiary or affiliated companies are responsible for any condition, circumstances, losses, failures or delays caused by events beyond its or their control where this Promotion is concerned. Save where it has been negligent, Skip will not be responsible for any damage, loss or injury resulting from your participation in the Promotion or for technical, hardware or software failures, lost, faulty or unavailable network connections or difficulties of any kind that may limit or prohibit your ability to participate in the Promotion. Nothing in these Terms and Conditions shall in any way limit Skip's liability for death or personal injury caused by its negligence or for any other matter where liability may not as a matter of law be limited.
   
   
10. These Terms and Conditions and any dispute or claim (including a non-contractual dispute or claim) arising out of or in connection with these Terms and Conditions shall be governed by the laws of Alberta and subject to the exclusive jurisdiction of the Calgary courts.
